Definitions

• Company refers to WHITE COCONUT HOSPITALITY PRIVATE LIMITED, a private limited company incorporated in India.
• Service refers to the TexPhotoshop website, application, tools, and related services.
• User, you, or your refers to any person or business that accesses or uses the Service.
• Credits refers to the prepaid units of usage that are consumed when you run a billable design action.
• Input refers to any image, design, photograph, or file you upload to the Service.
• Output refers to the print-ready files, repeats, colourways, separations, upscales, or other results the Service generates from your Input.

About the Service

TexPhotoshop is a software tool that helps mills, designers, and print houses turn a design or a photograph into a print-ready textile file — including seamless repeats, photo colour matching, editable motif layers, colour separations, and high-resolution print upscales.

The Service applies automated and AI-assisted image processing to the files you upload and returns the processed result. It is a production tool, not a financial, medical, legal, or other regulated advisory service, and we do not act in a fiduciary capacity toward you.

Eligibility & Account Registration

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You must provide accurate account information and keep it up to date.
• One mill or business account may be shared by multiple designers under the account owner's control; the account owner is responsible for all activity under the account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Acceptable Use

You agree not to:

• Use the Service for any unlawful, infringing, or fraudulent purpose.
• Upload any Input that you do not own or are not licensed to use, or that infringes the intellectual property, privacy, or other rights of a third party.
• Upload content that is illegal, obscene, hateful, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
• Interfere with, disrupt, scrape, overload, or reverse-engineer the Service or circumvent its usage or credit controls.
• Resell, sublicense, or provide access to the Service to third parties except as expressly permitted.

Your Content & Ownership

You retain all ownership of the Input you upload and of the Output generated from it. We do not claim ownership of your designs.

You grant us a limited, non-exclusive licence to store, process, and transform your Input solely to operate the Service and produce your Output, and to use sub-processors (such as cloud storage and AI image-processing providers) for that purpose.

You are solely responsible for ensuring you hold all rights necessary to upload and process your Input. You represent that your use of the Service and of any Output does not infringe the rights of any third party.

Our Intellectual Property

All proprietary elements of the Service — its software, algorithms, image-processing pipelines, user interface, visual design, and branding — are the exclusive intellectual property of WHITE COCONUT HOSPITALITY PRIVATE LIMITED.

You are granted a limited, non-transferable, revocable licence to access the Service for your own textile design and production purposes. Nothing in these Terms transfers any of our intellectual property to you.

Credits, Pricing & Payments

The Service is billed using prepaid credits. Each billable design action consumes a fixed number of credits, shown to you before you run it. New accounts may receive free trial credits.

• Prices for credit packs are shown on our pricing page and at the point of purchase, in Indian Rupees unless stated otherwise, inclusive of applicable taxes where indicated.
• Payments are processed by third-party payment gateways. We do not store your full card or bank details.
• Credits are added to your account balance once payment is confirmed and are consumed as you use the Service.
• If a design action fails for a reason attributable to us, the credits for that action are not consumed or are returned to your balance, as described in the tool at the time.

Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms.

AI-Generated Output Disclaimer

Output is produced by automated and AI-assisted processing and may vary in colour, detail, or fidelity. Screen colours, dyes, substrates, and printing hardware differ, so on-screen Output is not a guarantee of the final printed result.

You are responsible for reviewing, proofing, and physically strike-off testing any Output before committing it to production. We are not liable for production runs, dye lots, or material costs based on unproofed Output.

Service Availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee continuous availability, error-free operation, or that Output will meet every requirement.

We may modify, suspend, or discontinue any feature at any time. Where a change materially affects paid features, we will act reasonably and in accordance with the Refund & Cancellation Policy.

Suspension & Termination

We may suspend or terminate your account without notice if you breach these Terms, misuse the Service, upload infringing or unlawful content, attempt to compromise the platform, or engage in fraud or chargeback abuse.

You may stop using the Service at any time. Termination does not entitle you to a refund of consumed credits, and may result in loss of access to your Input, Output, and account data.

Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, or consequential losses, including lost profits, lost production, wasted materials, or business interruption.
• We are not liable for outcomes based on unproofed Output, third-party service failures, data inaccuracies, or events beyond our reasonable control.
• Our total aggregate liability for any claim arising out of or relating to the Service is limited to the amount you paid us for credits in the three months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless WHITE COCONUT HOSPITALITY PRIVATE LIMITED, its directors, employees, and affiliates from any claims, losses, damages, liabilities, costs, or legal expenses arising from your use of the Service, your Input, your violation of these Terms, or your violation of any law or third-party right.

Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service you agree to that policy.

Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

Governing Law & Jurisdiction

These Terms are governed by the laws of India. The courts located in Surat, Gujarat shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
